Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Refrain website, browser extension, and related services (collectively, the "Service") operated by Refrain ("we," "us," or "our"). By creating an account, subscribing, installing the extension, or otherwise using the Service, you agree to these Terms.

1. What Refrain is

Refrain is a browser extension and companion web application that helps traders enforce self-defined discipline rules on TradingView — including news lock windows, drawdown limits, position size checks, and session hard locks. Refrain is a software tool for personal rule enforcement. It is not a broker, exchange, custodian, investment adviser, or financial planner, and does not execute trades on your behalf.

2. Not financial advice

Nothing in the Service constitutes financial, investment, trading, tax, or legal advice. Refrain does not recommend any security, strategy, or course of action. You alone are responsible for your trading decisions, rule configuration, and compliance with applicable laws and prop-firm or broker terms. Use the Service at your own risk.

3. No guarantees

We do not guarantee profits, improved performance, account preservation, or any particular trading outcome. Protection rules may fail to trigger, trigger incorrectly, or be bypassed due to browser changes, site updates, network issues, misconfiguration, or other factors outside our control. Refrain is provided as a best-effort discipline aid — not a guarantee of compliance or results.

4. Eligibility and account

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the security of your account credentials and any extension connection token you generate. Notify us promptly if you suspect unauthorized access.

5. Subscription and billing

Refrain Pro is offered as a paid subscription processed by Stripe. Current pricing:

  • Monthly: $28/month, billed monthly
  • Yearly: $23/month equivalent ( $276/year), billed annually

Prices may change with reasonable notice. Subscriptions renew automatically until canceled. You may cancel at any time through your account dashboard or Stripe customer portal; access continues through the end of the current billing period unless otherwise required by law. Refunds are handled at our discretion except where required by applicable law. Failed payments may result in suspension of subscription features.

6. Extension license

Subject to these Terms and an active subscription where required, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Refrain browser extension for personal trading discipline on supported platforms. You may not reverse engineer, resell, sublicense, or use the Service to build a competing product.

7. Acceptable use

You agree not to:

  • Use the Service for unlawful purposes or in violation of third-party terms
  • Attempt to circumvent subscription or entitlement checks
  • Interfere with or disrupt the Service or its infrastructure
  • Misrepresent Refrain as providing guaranteed protection or regulated financial advice

8. Third-party services

The Service integrates with third parties including Clerk (authentication), Stripe (payments), and TradingView (where you use the extension). Your use of those services is subject to their respective terms and privacy policies. We are not responsible for third-party platforms or brokers.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR ACCURATE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFRAIN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, ACCOUNTS, TRADING CAPITAL, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to indemnify and hold harmless Refrain from claims, damages, and expenses (including reasonable attorneys' fees) arising from your trading activity, misuse of the Service, violation of these Terms, or violation of any law or third-party rights.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay, or if we discontinue the Service. Sections that by nature should survive (including disclaimers, limitation of liability, and governing law) survive termination.

13. Changes

We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Continued use after changes constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Disputes shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there, except where prohibited by applicable consumer protection law in your jurisdiction.
